4. User Obligations

4.1 Eligibility

Late payments may incur additional charges and may result in suspension of services. We reserve the right to charge interest on overdue amounts.

7. Service Level and Availability

We strive to provide high-quality services but do not guarantee uninterrupted or error-free service. Service levels will be specified in individual service agreements.

8.1 Mutual Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of our business relationship.

We will not disclose client confidential information to third parties except as necessary to provide our services or as required by law.

9. Limitation of Liability

9.1 Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9.2 Limitation of Damages

To the maximum extent permitted by law, our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

9.3 Exclusion of Certain Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Upon termination, your right to use our services ceases immediately. Provisions regarding payment, intellectual property, confidentiality, and limitation of liability shall survive termination.

12. Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, pandemics, or infrastructure failures.

13. Dispute Resolution

13.1 Negotiation

In the event of any dispute, the parties agree to first attempt to resolve the matter through good faith negotiations.

13.2 Arbitration

If negotiation fails, disputes may be resolved through binding arbitration in accordance with the rules of the Chartered Institute of Arbitrators (Kenya Branch).

13.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. The courts of Kenya shall have exclusive jurisdiction over any legal proceedings.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website. Your continued use of our services after modifications constitutes acceptance of the updated Terms.
